Terms of service
Please read these Terms and Conditions (“Terms”) carefully before using www.signaturestrategy.com.au operated by Signature Strategy (“Signature Strategy”, “us”, “we”, or “our”).
Your access to and use of our services and website (the “Service”) is conditioned on your acceptance of and compliance with these Terms.
By ticking “I’ve read & accepted the terms & conditions” on sign-up, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
1. Entire Agreement
This agreement constitutes the entire agreement between you (“Client”, “Subscriber”, “you”) and Signature Strategy regarding the Service. Any additional or conflicting terms (including those on a purchase order) will not apply unless expressly agreed in writing by Signature Strategy.
2. Definitions
-
Business Hours means professional time spent by our team on your account, tracked in standard industry increments.
-
Subscription means our month-to-month services billed as described in Section 5.
-
Fixed-Term Agreement means a minimum term agreement (e.g., 3/6/12 months).

Advertising budgets, media spend and third-party platform charges (including but not limited to Google Ads, Meta, Klaviyo) are not included and are paid directly by you to the relevant platform(s). Platform charges continue independently of this Agreement unless you pause or close those accounts yourself. Ticking the checkbox constitutes electronic acceptance and forms part of this Agreement.

Fixed-term agreements auto-renew for successive terms unless you notify us in writing of your intention not to renew before the current term ends.
-
Pausing is not available during a fixed term unless otherwise agreed in writing.

12. Advertising Management Service T&Cs
12.1 Google Ads
By entering this Agreement, you authorise us to access and manage your Google Ads account. We will endeavour to complete any initial set-up as soon as possible; in some cases this may take 5–7 business days.
Our management service is separate from per-click or other fees charged by Google. Cancelling our management does not automatically stop your Google advertising or Google’s charges. You are solely responsible for all Google charges during and after our engagement.
We will use reasonable efforts to help you reach your online advertising goals by providing advice, information and technical services. No specific performance, ranking, or return is guaranteed. Internet services are inherently subject to technical failures and disruptions.
To the maximum extent permitted by law, Signature Strategy is not liable for fines, penalties, taxes, punitive/exemplary damages, liquidated damages, indirect or consequential losses (including loss of production, revenue, profit, opportunity or goodwill), or legal costs and expenses.
12.2 Facebook / Meta
Signature Strategy does not reply to messages/comments or otherwise engage with followers on your social pages unless expressly agreed. We may create and run ads for targeted audiences; all platform costs are your responsibility. Facebook/Meta is a separate entity/company to Signature Strategy.
13. Search Engine Optimisation (SEO)
13.1 Scope
Signature Strategy agrees to provide SEO services (including Optimised Content Marketing). We are authorised to use specific keywords/phrases for improving organic visibility across search engines (e.g., Google, Bing, Yahoo).
We will endeavour to provide Services within a reasonable timeframe; we are not liable for delays.
13.2 Definition
SEO means strategies and tactics used to increase website visitors by improving organic search visibility.
Note: SEO does not include web design or website changes. Such work can be provided at $150/hour or by separate quote.
13.3 Disclaimers
We do not guarantee #1 positions or first-page rankings. Rankings may fluctuate for reasons beyond our control. We are not responsible for third-party changes to your site that adversely affect rankings. We do not guarantee SEO will increase sales or profits. You agree to provide necessary access (usernames/passwords) promptly. We are not responsible for site errors or downtime, including those arising from client edits.
13.4 SEO Payment & Cancellation
An initial SEO fee is charged at purchase and is non-refundable. Thereafter, your authorised card is charged monthly on the same calendar day (or nearest business day) until you cancel. You may cancel SEO with 30 days’ written notice; we will continue SEO during the notice period provided we have access. Overdue/collection terms in Section 5 apply.
14. Web Design
Work proceeds where an agreement is formed by email or phone. An “order” includes written or verbal authorisation. We will make reasonable efforts to ensure websites/scripts are free of errors; however, we accept no liability for losses due to malfunction.
All website files, graphics and code remain our property until all accounts are paid in full. We are not responsible for copyright infringements in client-supplied materials and may refuse any such materials. Changes beyond scope are at our discretion and charged at $150/hour.
You agree to promptly supply all materials/access required to complete the site. We are not liable for costs, compensation or loss of earnings due to missed deadlines, work carried out on your behalf, or site/server/software unavailability.
A 50% deposit is required before work begins (unless otherwise agreed in writing). Once a project is completed, the balance is due. If a client elects not to proceed, amounts for work performed remain payable. We do not guarantee any specific SEO ranking as part of web design (SEO services are separate).
We (and any subcontractor we engage) will not disclose your confidential information to any third party.
If accounts are not finalised and we have not been contacted regarding the delay, access to the related website may be denied and web pages removed. Persistent non-payment may be referred to legal counsel or debt collection.
15. Graphic Design – Terms of Service
These Terms cover all contracts for design, printing, copywriting, visual media, websites, brand identity, illustrations, images and photography (“Artwork”).
We may request a deposit before work starts; payment constitutes acceptance of these Terms. Full payment is required before any assets/project are finalised. All prices are exclusive of GST.
Approvals: You are responsible for approving proofs and ensuring accuracy (design, spelling, grammar, images, quantities). Request another proof if readability is poor or changes are needed.
Liability: You acknowledge materials may contain errors and agree we are not liable for inaccuracies to the fullest extent permitted by law.
Deadlines & Delay: We are not responsible for delays caused by client actions/inactions (e.g., late approvals or content) or third parties (e.g., printers). If you shorten/specify a deadline after contracting, we may need to amend our quote. If we miss an agreed design deadline, you may cancel and pay only for work completed to date (if you still use the work, the full quoted amount is payable). Deadlines do not include print time.
Copyright: Copyright in all concepts and draft Artwork remains with us and must not be used prior to payment. On full payment, copyright ownership in final deliverables transfers to you. We (and our designers) may display work for portfolio/self-promotion. We are not responsible for trademark clearance or registration.

From time to time we may offer promotional packages (e.g., “2 Months Free”). Promotional inclusions, scope and pricing are as stated on the relevant offer page at the time of purchase. Unless expressly stated, promotions cover management services only; ad spend and third-party fees are excluded. Where a promotion specifies a fixed term, early cancellation requires payment of the remaining balance of the term. If continuing after the promotional period, ongoing fees apply as notified.
17. Changes to T&Cs & Pricing
We may modify these Terms (including pricing) at any time. You agree to continue to be bound by the modified Terms. We will publish the revised Terms on our website; we will not separately notify you of changes.
